An ongoing trend for utility companies is to outsource non-core services. Their increased focus on core competencies has led utilities to streamline workforces by outsourcing non-revenue producing functions. Declining union representation has reduced one constraint that has historically restricted outsourcing.
When PowerTown’s owner felt that he had achieved his targeted results, he decided to expand his Company’s growth horizon through a more aggressive approach to new business development. In order to so, he needed to acquire additional capital.
Carl Marks Securities was retained to perform a full range of merger & acquisition advisory services. Over the course of several months, Carl Marks Securities helped prepare and distribute a confidential offering memorandum, developed a buyer list, negotiated with several potential buyers to obtain letters of intent, organized a “data room” for buyer due diligence and assisted with the negotiation of definitive agreements and the closing process.
Carl Marks ran a targeted process, including both strategic and financial investors. The successful outcome was the acquisition of PowerTown by Entregado, a portfolio company of AEA Investors.
Though this transaction the original owner acquired equity in Entregado and aligned management’s interests with the buyer.
